1. Introduction & Acceptance
These Terms of Service ("Terms") govern your access to and use of the services operated by Vercaa ("Vercaa", "we", "us", "our"), including our website, client area, hosting infrastructure, domain registration services, and the Market Connect add-on services described in Section 3.
By creating an account, placing an order, or otherwise using any Vercaa service, you agree to be bound by these Terms. If you're accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.
If you do not agree to these Terms, do not create an account, place an order, or use any Vercaa service.
2. Definitions
- "Account" means the client-area account you register with Vercaa to order and manage services.
- "Services" means any product or service you order from Vercaa, including hosting, domain registration, SSL certificates, and any Market Connect add-on service.
- "Content" means any data, files, code, text, images, or other material you upload, install, or transmit through the Services.
- "Market Connect Services" means the third-party security, productivity, and infrastructure services we resell alongside our own hosting — see Section 3.
- "Order" means a request to purchase, renew, or upgrade a Service, placed through our client area or a Vercaa-operated page.
3. The Services We Provide
Vercaa provides the following categories of service. Some of these are real, orderable products today; others are shown on our site as upcoming plans that reuse the same hosting infrastructure and will become orderable without any change to these Terms once configured:
- Web Hosting — our real, currently orderable hosting plan, provisioned with cPanel and Imunify360 malware/firewall protection, with support for standard PHP as well as Python and Node.js applications.
- Cloud Hosting, WordPress Hosting, and Managed WordPress Hosting — shown on our site as upcoming hosting tiers; until a specific plan is configured and priced, ordering one of these routes you to our Web Hosting plan instead, clearly labeled "Coming soon" wherever it appears.
- Domain Name Registration — registration, renewal, and transfer of domain names through our accredited registrar partner, ConnectReseller. See Section 9 and our Domain Registration Policy for the rules specific to domains.
- SSL Certificates — website encryption certificates issued by third-party Certificate Authorities and resold through our platform.
- VPN — private, encrypted network access, resold on our platform through NordVPN.
- Website Security — malware scanning and firewall protection, resold through SiteLock.
- Backup — automatic site/data snapshots, resold through CodeGuard.
- Email & Email Security — business email hosting (resold through OpenXchange) and spam/phishing filtering.
- 360 Monitoring — uptime and performance monitoring for your own websites, resold through 360 Monitoring.
The specific plans, features, and pricing available at any time are shown live in our client area and on the relevant service page — those live pages, not a cached copy of this paragraph, are the source of truth for what's currently orderable.
4. Eligibility & Your Account
You must be able to form a legally binding contract to create a Vercaa account. When you register, you agree to provide accurate, current, and complete information, and to keep that information up to date — this matters in particular for domain registrations, where accurate WHOIS contact information is a requirement of the domain name system itself, not just our own preference (see Section 9).
You may not create an account for the purpose of impersonating another person or entity, and you're responsible for all activity that occurs under your account, whether or not you personally performed it.
5. Account Security
You are responsible for keeping your account credentials confidential and for restricting access to your account. Notify us immediately by opening a support ticket if you suspect unauthorized access to your account. Vercaa is not liable for any loss or damage arising from your failure to safeguard your login information.
We recommend using a unique, strong password for your Vercaa account and enabling any additional account-security options available in the client area.
6. Orders, Billing & Payment
When you place an Order, you're making an offer to purchase the Service at the price and billing cycle displayed at checkout. An Order is accepted, and the Service is provisioned, once payment is successfully processed.
All prices are shown in the currency displayed at checkout. You agree to pay all charges associated with your Order, including any applicable taxes. Payment is currently processed via bank transfer; if we add additional payment methods in the future, those methods will be governed by their own provider's terms in addition to these Terms.
If a payment fails or is not received by the due date shown on your invoice, we may suspend the affected Service until payment is received, in accordance with Section 14.
7. Billing Cycles & Auto-Renewal
Services are billed on the cycle you select at checkout — for example monthly, quarterly, semi-annually, annually, biennially, or triennially, depending on what's offered for that Service. Unless you cancel before the renewal date, subscription Services renew automatically at the end of each billing cycle, at the price then in effect for that Service, and we will invoice the payment method or account on file.
You can view your upcoming renewal dates and cancel auto-renewal for a Service at any time from your client area, subject to any minimum term disclosed at the time of purchase.
8. Cancellations & Refunds
You may cancel a Service at any time from your client area or by contacting support. Cancelling stops future renewal charges but does not, by itself, entitle you to a refund of amounts already paid — refund eligibility depends on the Service and how much of the billing period has elapsed.
The full rules for what is and isn't refundable — including our hosting money-back guarantee window and the separate, ICANN-driven rules that apply to domain names — are set out in our Refund Policy, which forms part of these Terms.
9. Domain Name Registration
Domain names are registered through our accredited registrar partner, ConnectReseller, and are subject to the policies of the relevant domain registry and ICANN (the Internet Corporation for Assigned Names and Numbers) in addition to these Terms. This includes rules around WHOIS accuracy, transfer locks, renewal grace periods, and dispute resolution that exist independently of Vercaa and apply to every registrar, not just us.
The full set of domain-specific rules — including which extensions we currently support, WHOIS/ID protection availability, transfer rules, and the grace-period window for cancelling a new registration — is set out in our Domain Registration Policy, which forms part of these Terms.
10. Acceptable Use
You agree to use the Services only for lawful purposes and in a way that doesn't infringe the rights of, restrict, or inhibit anyone else's use of the Services. This includes rules against distributing malware, sending unsolicited bulk email, hosting illegal content, and abusing shared server resources.
The complete rules are set out in our Acceptable Use Policy, which forms part of these Terms. Violating the Acceptable Use Policy can result in suspension or termination of your Services under Section 14, without a refund for the violating account under Section 10 of our Refund Policy.
11. Service Availability & Support
We work to keep our services online and responsive, and we publish our real, live operational status — including any open incidents — at our status page rather than only quoting a marketing figure. We do not currently publish a contractual uptime-percentage guarantee or service-level credit for any Service; if that changes, it will be published on the relevant Service's own page.
Support is available by opening a support ticket or browsing our Help Center. We aim to respond to support tickets as quickly as we reasonably can, but response times are not a guaranteed, contractual commitment unless separately agreed in writing.
12. Third-Party & Resold Services
Several Services we offer — SSL certificates, VPN (NordVPN), Website Security (SiteLock), Backup (CodeGuard), Email (OpenXchange), Email Security, and 360 Monitoring — are provided by third-party vendors and resold to you through our platform. Your use of these Services may also be subject to the underlying vendor's own terms of service or acceptable use policy, to the extent disclosed to you when you order that Service.
We are not responsible for the acts, omissions, or service interruptions of third-party vendors, though we will make reasonable efforts to assist you if a resold Service isn't working as expected.
13. Intellectual Property
You retain all ownership rights in the Content you upload or create using the Services. By using the Services, you grant Vercaa only the limited rights necessary to store, transmit, and display your Content as required to operate the Service you've ordered — we don't claim ownership of your Content.
Vercaa's own branding, software, website design, and documentation are owned by Vercaa or our licensors and are not transferred to you by these Terms.
14. Suspension & Termination
We may suspend or terminate a Service if: payment is overdue; we reasonably believe the Service is being used in violation of these Terms, our Acceptable Use Policy, or applicable law; the Service poses a security risk to our infrastructure or other customers; or we receive a valid legal request requiring us to do so.
Where practical, we will attempt to notify you before or promptly after suspension and explain the reason. You may terminate your own use of any Service at any time by cancelling it in your client area.
15. Disclaimers & Limitation of Liability
The Services are provided "as is" and "as available." To the fullest extent permitted by law, Vercaa disclaims all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement.
To the fullest extent permitted by law, Vercaa's total liability arising out of or related to the Services is limited to the amount you paid us for the affected Service in the twelve (12) months preceding the event giving rise to the claim. Vercaa is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or business opportunity, even if we've been advised of the possibility of such damages.
Nothing in these Terms limits liability that cannot lawfully be limited or excluded.
16. Indemnification
You agree to indemnify and hold Vercaa harmless from any claim, loss, or demand — including reasonable legal fees — made by a third party arising out of your Content, your use of the Services, or your violation of these Terms, our Acceptable Use Policy, or applicable law.
17. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes, we'll update the "Last updated" date at the top of this page. Continuing to use the Services after an update takes effect means you accept the revised Terms.
18. Governing Law & Disputes
These Terms — and any dispute arising out of or relating to them or the Services — are governed by the laws of the United States, without regard to its conflict-of-laws rules, and any legal action must be brought in a court of competent jurisdiction within the United States, unless applicable law requires otherwise.
Our Privacy Policy, Refund Policy, Domain Registration Policy, and Acceptable Use Policy are each governed by this same clause rather than repeating it — see each document's own "Governing Law" section for the cross-reference.
